End User License Agreement — BinaryAxe HexEdit+

Version of November 1, 2026

This License Agreement (the “Agreement”) is concluded between you (the “User”) and sole proprietor Oleksandr Pertsov, Ukraine (the “Licensor”) regarding the software BinaryAxe HexEdit+ (the “Software”), including its paid features and accompanying documentation.

By installing, copying or using the Software you confirm that you have read and agree to this Agreement. If you do not agree, do not use the Software.

1. Subject

1.1. The Licensor grants the User a non-exclusive, perpetual license to use the Software under the terms of this Agreement.

1.2. The Software is licensed, not sold. All rights to the Software belong to the Licensor.

1.3. The license is single and complete: it unlocks all paid features of the Software (for example, the advanced patcher with the patch library, block marks, block type detection). Individual features are not sold separately.

2. Trial period

2.1. After the first installation the Software works in full for 14 calendar days free of charge (the “trial period”). When it ends, the paid features are disabled; the features that match the free HexEdit keep working.

2.2. Circumventing or resetting the trial period is a breach of this Agreement.

3. Activation and binding to a computer

3.1. The license is issued as license files, each bound to one of the User’s computers by an anonymized hardware fingerprint (hashes of component identifiers; see the Privacy Policy). Replacing a single component normally does not require reactivation.

3.2. Activation can be done offline: the User sends a request file to the Licensor and receives a license file; the computer being activated does not need an internet connection.

3.3. When hardware is replaced or the Software is moved to another computer, the User may ask the Licensor to reissue the license file under the same license number. The Licensor may limit the number of reissues and refuse in case of signs of abuse (transferring the license to third parties, use on more computers than permitted by clause 4.1).

4. Permitted

4.1. Using the Software on two computers of the User per purchased license (for example, a workshop computer and a laptop), including in the User’s commercial activities. A separate license file is issued for each computer.

4.2. Making backup copies of the installer and license files for one’s own needs.

4.3. Receiving updates of the Software under section 6.

5. Prohibited

Except where expressly permitted by applicable law, the User may not:

6. Updates and support

6.1. Updates within the purchased version are provided free of charge as they are released. The Licensor may release a new major version with new paid features and offer it for a separate fee; the purchased license remains valid for the versions and features already received.

6.2. Support is provided via the contacts in section 12 within a reasonable time, without a guaranteed response time.

7. PURPOSE OF THE SOFTWARE AND RISKS. DISCLAIMER OF WARRANTIES

7.1. The Software is a professional tool for working with binary files, including copies (dumps) of the contents of memory chips of electronic control units. Editing such data by its very nature may render the equipment into which the modified data is written inoperable.

7.2. The User confirms having the necessary qualifications, makes their own decisions about changing data and writing it to equipment, and must keep backup copies of the original data.

7.3. THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE AND ABSENCE OF ERRORS. THE LICENSOR DOES NOT WARRANT THAT THE RESULTS OF THE SOFTWARE (INCLUDING DATA, PATCHES AND BLOCK TYPE INFORMATION FOUND OR WRITTEN BY THE SOFTWARE) ARE SUITABLE FOR THE USER’S PARTICULAR EQUIPMENT.

8. Limitation of liability

8.1. To the maximum extent permitted by applicable law, the Licensor is not liable for any indirect damages, lost profits, data loss, damage to equipment (including electronic control units into which data was written) arising from the use of or inability to use the Software.

8.2. The Licensor’s total liability under this Agreement is in any case limited to the amount actually paid by the User for the license.

8.3. Nothing in this Agreement limits liability that cannot be limited under applicable law (including consumer rights where they apply).

9. Personal data

Data processing is described in the Privacy Policy (“Help → Privacy”), which forms part of this Agreement.

10. Term and termination

10.1. This Agreement is effective from the installation of the Software and has no time limit.

10.2. In case of a material breach by the User (section 5) the license terminates; the User must stop using the Software and delete its copies and license files. Amounts paid are not refunded in this case.

10.3. If the payment is refunded, the license terminates; the User must delete the license files.

11. Miscellaneous

11.1. The Licensor may decline to sell licenses in certain territories.

11.2. If the purchase is made through a payment service or a reseller (merchant of record), its terms, presented at checkout, additionally apply to the purchase, payment and refunds. A refund is available within 14 days of purchase — see the “Refund Policy” for details.

11.3. The Licensor may update this Agreement for future versions of the Software; the installed version is governed by the version of the Agreement in effect at the time of its installation.

11.4. This Agreement is governed by the law of Ukraine unless mandatory law of the User’s country provides otherwise. Disputes are resolved by negotiation and, failing agreement, by a competent court.
